Welcome to GrowVibeAI (“we,” “us,” “our”). These Terms of Service (“Terms”) form a legally binding agreement between GrowVibeAI, a business operating at 720 Airport Blvd, Austin, Texas 78702, United States, and you or the business entity you represent (“you,” “your,” “Client”).
By accessing or using growvibeai.com (the “Website”), our AI-powered receptionist and chatbot services (the “Services”), or any associated software, APIs, or integrations, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility
The Services are available only to businesses and authorized representatives acting on behalf of a legal business entity.
You must be 18 years or older and have the authority to bind your business.
Personal or individual use is not permitted.
You may not use the Services if your business is located in a country subject to U.S. government embargo (e.g., Cuba, Iran, North Korea, Syria) or if you are on any U.S. government list of prohibited parties.
2. Description of Services
GrowVibeAI provides AI-powered receptionists and chatbots for businesses. These tools automate customer interactions, appointment scheduling, lead qualification, and support via web, SMS, voice, and integrated platforms (e.g., GoHighLevel, Twilio).
The Services include:
AI chatbot deployment
Conversational AI training on your brand voice
Integration with third-party tools (OpenAI, Grok, Twilio, etc.)
Analytics and performance reporting
3. Account Registration
To use the Services, you must:
Create a business account with accurate and complete information.
Designate an authorized administrator.
Keep your login credentials secure.
You are responsible for all activity under your account.
4. Payment Terms
4.1 Subscription Plans
Services are offered via monthly subscriptions or one-time setup fees.
4.2 Billing
Billing occurs monthly in advance via credit card or ACH (processed through Stripe).
Subscriptions auto-renew unless canceled before the renewal date.
4.3 Free Trials
Eligible new Clients may receive a free trial (typically 7–14 days). Trial terms are displayed at signup.
4.4 No Refunds
All payments are non-refundable. There are no refunds or credits for partial months, downgrades, or unused time.
4.5 Price Changes
We may change pricing with 30 days’ notice. Continued use after changes constitutes acceptance.
5. User Responsibilities
You agree to use the Services lawfully and responsibly. You must not:
Use the Services for illegal, fraudulent, or unauthorized purposes.
Generate or distribute harmful, abusive, defamatory, or discriminatory content.
Infringe third-party intellectual property, privacy, or publicity rights.
Attempt to reverse engineer, decompile, or extract the AI models, code, or algorithms.
Use the Services to create deepfakes, impersonations, or misleading content intended to deceive.
Overload, spam, or disrupt the Services (e.g., excessive API calls beyond fair use).
Resell, white-label, or sublicense the Services without written permission.
6. Intellectual Property
6.1 GrowVibeAI Property
We own or license all rights, title, and interest in:
The GrowVibeAI platform, software, AI models, and technology.
All pre-existing content, templates, and system prompts.
Aggregated, anonymized usage data and performance metrics.
6.2 Client Content
You retain ownership of all data, text, images, or materials you upload or input (“Client Content”).
6.3 AI-Generated Outputs
You own the content generated by the AI in response to your inputs (e.g., chatbot replies, scripts). We do not claim ownership of AI outputs.
However, you acknowledge:
AI outputs are generated automatically and may be inaccurate, incomplete, or biased.
You are solely responsible for reviewing, editing, and approving all AI-generated content before use.
6.4 No License to Us
We do not receive any license to use your Client Content or AI outputs for training, marketing, or any other purpose unless you explicitly opt in.
7. Company Rights
We reserve the right to:
Suspend or terminate your account immediately for violation of these Terms.
Modify, update, or discontinue any feature of the Services with or without notice.
Monitor usage to ensure compliance and improve performance.
Throttle or limit excessive usage (e.g., beyond reasonable business needs).
8. Termination
8.1 By You
You may cancel your subscription at any time via your account dashboard or by emailing [email protected]. Cancellation takes effect at the end of the current billing cycle.
8.2 By GrowVibeAI
We may terminate or suspend your access immediately, without refund, if you:
Breach these Terms.
Engage in illegal or harmful activity.
Fail to pay fees.
Damage our systems, reputation, or third parties.
8.3 Effects of Termination
Upon termination:
Your access ends immediately.
You remain liable for any unpaid fees.
We will delete your account data within 30 days, except anonymized data used for analytics.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
WE DO NOT GUARANTEE:
AI outputs will be accurate, reliable, or error-free.
The Services will be uninterrupted or secure.
Results will meet your business expectations.
AI IS A TOOL — NOT A SUBSTITUTE FOR HUMAN JUDGMENT. You are solely responsible for all content you generate, distribute, or act upon.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE ARE NOT LIABLE for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill — even if advised of the possibility.
Our total liability in any matter arising from these Terms or the Services is limited to the amount you paid us in the 3 months prior to the claim.
We are not liable for AI-generated content, including claims of defamation, IP infringement, or harm caused by your use of outputs.
11. Indemnification
You agree to defend, indemnify, and hold harmless GrowVibeAI, its affiliates, and personnel from any claims, damages, or costs (including attorneys’ fees) arising from:
Your use of the Services.
Your Client Content or AI outputs.
Your violation of these Terms or third-party rights.
12. Third-Party Integrations
The Services integrate with third-party platforms (e.g., OpenAI, Grok, Twilio, GoHighLevel). You agree:
Your use of such services is subject to their terms and privacy policies.
We are not responsible for third-party downtime, errors, or data handling.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction in those courts.
No class actions. All claims must be brought individually.
14. Changes to Terms
We may update these Terms at any time. Changes will be posted on growvibeai.com/terms with the updated date.
Continued use of the Services 30 days after changes constitutes acceptance. If you do not agree, you must stop using the Services.
15. Miscellaneous
Entire Agreement: These Terms (and any attached order form) are the full agreement between us.
Severability: If any part is unenforceable, the rest remains in effect.
No Waiver: Failure to enforce a right does not waive it.
Assignment: You may not assign this agreement. We may assign it freely.
Force Majeure: We are not liable for delays due to events beyond our control (e.g., cyberattacks, outages).
